By accessing or using Xenti ("the Service"), operated at xenti.app, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you and Xenti ("we," "our," or "us"). By creating an account or using any part of the Service, you confirm that you have read, understood, and accepted these Terms.

Xenti is an AI-powered social intelligence platform that monitors publicly available online conversations and surfaces actionable insights for businesses. The Service includes:

• Keyword and brand mention monitoring across social media platforms, forums, news sites, and blogs.
• AI-powered sentiment analysis, buying intent detection, and competitor complaint identification.
• Market intelligence reports, trend analysis, and content opportunity discovery.
• Community discovery and customer language extraction.
• Dashboards, alerts, and exportable reports.

The Service processes publicly available data only. We do not access private accounts, direct messages, or any content that requires authentication to view.

You must be at least 16 years of age to use the Service. By creating an account, you represent that you meet this requirement.

You are responsible for maintaining the security of your account credentials. You must not share your login information with others. You are fully responsible for all activity that occurs under your account.

You must provide accurate and complete information when creating your account. You agree to update your information promptly if it changes.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or abusive behavior.

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Harass, stalk, threaten, or intimidate any individual based on information obtained through the Service.
• Engage in unauthorized data scraping, data mining, or automated data collection beyond what the Service provides.
• Attempt to reverse-engineer, decompile, or disassemble any part of the platform.
• Interfere with or disrupt the integrity or performance of the Service or its infrastructure.
• Use the Service to collect personal information about individuals for purposes unrelated to legitimate business intelligence.
• Resell, redistribute, or sublicense access to the Service without our consent.
• Circumvent usage limits, rate limits, or other technical restrictions of the Service.

Violation of these terms may result in immediate suspension or termination of your account without notice or refund.

5.1 Subscription Plans

Xenti offers paid subscription plans with varying feature sets and usage limits. Details of available plans and pricing are published on our website and may be updated from time to time.

5.2 Billing

All payments are processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis according to your selected plan (monthly or annual). All fees are quoted in US dollars unless otherwise stated.

5.3 Refunds

Payments are non-refundable except where required by applicable law. If you cancel your subscription, you will continue to have access to the Service until the end of your current billing period.

5.4 Price Changes

We reserve the right to modify pricing at any time. We will provide at least 30 days' notice before any price increase takes effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.

6.1 Our Property

The Service, including its design, code, features, AI models, branding, and documentation, is owned by Xenti and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your subscription period.

6.2 Your Data

You retain ownership of any data you provide to the Service (such as keywords, brand names, and project configurations). By using the Service, you grant us a limited license to process this data solely for the purpose of delivering the Service to you.

6.3 Generated Insights

Reports, analyses, and insights generated by the Service based on your monitoring projects are provided for your use. You may use these outputs for your internal business purposes. We do not claim ownership of insights generated specifically for your account.

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the data practices described therein.

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components. We do not guarantee the accuracy, completeness, or reliability of any insights, analyses, or reports generated by the Service.

AI-generated insights are provided for informational purposes only and should not be relied upon as the sole basis for business decisions.

To the maximum extent permitted by law, Xenti and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.

Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless Xenti and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any third-party rights.

You may cancel your subscription and close your account at any time through your account settings or by contacting support@xenti.app.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, non-payment, or abusive behavior.

Upon termination, your right to use the Service ceases immediately. We will delete your account data in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination shall remain in effect.

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or through the platform at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of revised Terms constitutes acceptance of those changes. If you do not agree to the revised Terms, you must discontinue use of the Service.

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
